These terms of sale govern the commercial relationship between BooWin and any business signing up for the free trial or a paid subscription. They complement the Terms of Service and apply from the moment you sign up, regardless of the payment method used.
BooWin is published by Onlyfood Sàrl, a private limited liability company (société à responsabilité limitée) registered with the Luxembourg Trade and Companies Register (RCS) under number B282375, with its registered office at 19 rue de l'Industrie, L-8069 Bertrange, Luxembourg. BooWin provides an online reputation management and customer loyalty SaaS service through gamification (prize wheel, scratch card), described in detail in the Terms of Service. The service is reserved for businesses and is not intended for consumers.
Applicable prices are those shown on the payment page at the time of signup, in euros, all taxes included. BooWin may change its prices at any time; any change has no effect on an existing subscription until its next renewal. Applicable VAT depends on the billing country provided: Luxembourg VAT for Luxembourg-based customers, reverse charge for businesses in another EU member state with a valid intra-community VAT number.
A 14-day free trial gives access to all features. A payment card is requested at signup but is only charged once the trial ends. Unless cancelled before the trial ends, the chosen subscription is automatically activated and billed at the applicable rate.
Billing is monthly or annual depending on the plan chosen, and processed by Stripe, a PCI DSS certified payment provider. Payment is automatically charged on the registered payment method at each due date. Invoices are available from your account.
The subscription runs for the chosen period (monthly or annual) and automatically renews for the same duration unless cancelled. You may cancel at any time from your account; cancellation takes effect at the end of the period already paid for, with no pro-rata refund, and access remains active until that date.
A plan change can be applied immediately, at full price with the billing cycle restarted, or at the next renewal, depending on the option chosen from your account. Immediate downgrades are not available; they take effect at the next renewal.
As the service is reserved for businesses acting in a professional capacity, the 14-day statutory right of withdrawal under consumer law does not apply. The free trial nevertheless lets you test the service with no commitment before any charge.
BooWin commits to maintaining 99.5% service availability per month. BooWin cannot be held responsible for reviews posted by your customers on Google, nor for the business consequences of their content. Should BooWin's liability be established, it is limited to the total amount you paid over the preceding twelve months.
BooWin's logo, text, visuals, and features remain the exclusive property of BooWin. The content you configure (prizes, text, your business's logo) remains your property.
These Terms are governed by Luxembourg law. Failing an amicable resolution, any dispute falls under the exclusive jurisdiction of the courts of Luxembourg.
